1. Acceptance of Terms

By accessing or using SmartDM.ai ("Service"), operated by Mobixo AI, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

SmartDM.ai provides an AI-powered automated reply system for Instagram Direct Messages. Our Service uses Retrieval-Augmented Generation (RAG) technology to generate contextually relevant responses based on your knowledge base.

Key features include:

  • Automated DM response generation
  • Custom knowledge base management
  • Confidence-based reply modes (Auto, Safe, Off)
  • Message logging and analytics

3. Account Requirements

To use our Service, you must:

  • Have a valid Instagram Business or Creator account
  • Have a Facebook Page connected to your Instagram account
  • Provide accurate and complete registration information
  • Be at least 18 years of age
  • Comply with Instagram's Terms of Use and Community Guidelines

4. Acceptable Use

You agree NOT to use our Service to:

  • Send spam, unsolicited messages, or misleading content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Harass, abuse, or harm others
  • Distribute malware or harmful code
  • Attempt to gain unauthorized access to our systems
  • Violate Meta's Platform Policies or Instagram's Terms

5. Knowledge Base Content

You are solely responsible for the content you upload to your knowledge base. You represent and warrant that:

  • You own or have rights to use all content you upload
  • Your content does not violate any third-party rights
  • Your content is accurate and not misleading
  • Your content complies with all applicable laws

6. AI-Generated Responses

You acknowledge that our Service uses artificial intelligence to generate responses. While we strive for accuracy:

  • AI responses may not always be perfect or appropriate
  • You should review and monitor automated responses
  • You are responsible for the messages sent from your account
  • We recommend using "Safe" mode for sensitive interactions

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Experience downtime due to factors beyond our control
  • Modify or discontinue features with reasonable notice

8. Fees and Payment

Pricing and payment terms will be provided separately. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in service suspension.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SmartDM.ai and protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your knowledge base content. By uploading content, you grant us a license to use it solely for providing the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTDM.AI SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from AI-generated responses
  • Service interruptions or data loss
  • Actions taken by Instagram or Meta regarding your account

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless SmartDM.ai from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content in your knowledge base

12. Termination

We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will cease immediately
  • We may delete your data after 30 days
  • You may request data export before termination

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the courts of İstanbul, Turkey.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
